1. Acceptance of Terms

Welcome to Bruchim Habaim | ברוכים הבאים (the "Site"). These Terms and Conditions ("Terms") govern your access to and use of the Site, including all content, features, services, and functionality offered on or through the Site (collectively, the "Services"). The Site is operated by Bruchim Habaim | ברוכים הבאים ("we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Site. We reserve the right to modify these Terms at any time. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

You must be at least 18 years of age to use this Site. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Services

Bruchim Habaim is an online real estate listing platform that aggregates and displays property listings in Israel. The Site provides tools for searching, comparing, and viewing real estate listings, including residential properties for sale and rent. The Site also offers features such as neighborhood guides, market trends, mortgage calculators, and property comparison tools.

The Site is an informational platform only. We are not a real estate brokerage, agent, or broker. We do not participate in any real estate transactions, negotiations, or agreements between buyers, sellers, landlords, tenants, or agents. All property listings displayed on the Site are provided by third-party sources, real estate agents, brokers, developers, or property owners, and we do not guarantee the accuracy, completeness, or availability of any listing.

3. Intellectual Property and Copyright

3.1 Ownership. All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof (collectively, "Site Content"), is the property of Bruchim Habaim or its content suppliers and is protected by Israeli and international copyright, trademark, and other intellectual property laws.

3.2 Trademarks. The name "Bruchim Habaim," the Site logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Bruchim Habaim or its affiliates. You must not use such marks without our prior written permission.

3.3 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial use only. This license does not include the right to: (a) modify or copy the Site Content; (b) use the Site Content for any commercial purpose or public display; (c) attempt to decompile or reverse-engineer any software contained on the Site; (d) remove any copyright or other proprietary notations from the Site Content; or (e) transfer the Site Content to another person or "mirror" the Site Content on any other server.

3.4 Third-Party Content. Property listing data, photographs, descriptions, and other listing-related content may be provided by third-party sources, including real estate agents, brokers, and external listing services. Such content remains the intellectual property of the respective owners. We display this content under license or with permission, and you may not reproduce, distribute, or create derivative works from such content without the express written consent of the respective owner.

3.5 Copyright Infringement Claims. If you believe that any content on the Site infringes your copyright, please contact us at [email protected] with: (a) a description of the copyrighted work; (b) identification of the infringing material and its location on the Site; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on behalf of the owner.

4. Prohibited Uses and Anti-Scraping Policy

You agree not to use the Site for any purpose that is unlawful or prohibited by these Terms. Without limiting the foregoing, you agree not to:

• Data Scraping and Automated Access: Use any robot, spider, crawler, scraper, data mining tool, or any automated means or interface not provided by us to access, extract, collect, harvest, or copy any content, data, or information from the Site, including but not limited to property listings, pricing data, images, agent information, user data, or any other Site Content.
• Systematic Retrieval: Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without our prior written permission.
• Circumvention: Attempt to bypass, disable, or circumvent any security features, access controls, rate limiting, CAPTCHAs, or other technological measures implemented on the Site to prevent unauthorized access or scraping.
• Commercial Exploitation: Use the Site or its content for any commercial purpose, including reselling, redistributing, or licensing property listing data to third parties, without our express written consent.
• Framing and Deep Linking: Frame, mirror, or incorporate any part of the Site into any other website, application, or service without our prior written consent.
• Interference: Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site, including through denial-of-service attacks, excessive API calls, or any other means.
• Impersonation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Misuse of Listings: Post false, misleading, or fraudulent property listings, or use the Site to engage in any form of real estate fraud.
• Harassment: Harass, threaten, or intimidate any other user of the Site, including agents, brokers, or property owners.

Enforcement. We actively monitor for violations of this section. Any unauthorized scraping, data collection, or automated access may result in immediate termination of your access to the Site, legal action, and claims for damages, including statutory damages under applicable law. We reserve the right to pursue all available legal remedies, including injunctive relief and monetary damages, against any person or entity that violates these provisions.

5. User Accounts and Responsibilities

5.1 Account Registration. Certain features of the Site require you to create an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Account Security. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

5.3 User Content. You may submit content to the Site, including property listings, reviews, comments, and photographs ("User Content"). By submitting User Content, you represent and warrant that: (a) you own or have the necessary rights to use and authorize the use of the User Content; (b) the User Content does not infringe any third party's intellectual property rights, privacy rights, or other rights; (c) the User Content is accurate and not misleading; and (d) the User Content complies with all applicable laws and regulations.

5.4 License to User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Site and our business operations, including for promotional purposes.

5.5 Listing Accuracy. If you are a real estate agent, broker, developer, or property owner who lists properties on the Site, you are solely responsible for the accuracy, completeness, and legality of your listings. You must promptly update or remove listings that are no longer available or that contain inaccurate information. We reserve the right to remove or modify any listing at our sole discretion.

5.6 Compliance with Laws. You agree to comply with all applicable local, national, and international laws, regulations, and ordinances in connection with your use of the Site, including but not limited to Israeli real estate laws, anti-money laundering regulations, and fair housing laws.

5.7 Due Diligence. You acknowledge that it is your sole responsibility to conduct your own due diligence before entering into any real estate transaction. This includes, but is not limited to, verifying property details, conducting independent inspections, reviewing legal documents, confirming property ownership and encumbrances at the Israel Land Authority (Tabu), and consulting with qualified legal and financial professionals.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT, SERVICES, AND FEATURES AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the information, content, or listings on the Site are accurate, reliable, complete, or current; (c) any defects or errors in the Site will be corrected; (d) the Site is free of viruses or other harmful components; or (e) any property listed on the Site is available, accurately described, or priced correctly.

Property Information Disclaimer. Property listing information, including prices, descriptions, photographs, floor plans, and availability, is provided by third parties and may contain errors or omissions. We do not verify and cannot guarantee the accuracy of any listing information. Prices shown may not reflect the current asking price and are subject to change without notice. Currency conversions are approximate and based on exchange rates that may not be current.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRUCHIM HABAIM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY.

Without limiting the foregoing, our total aggregate liability for all claims arising out of or relating to these Terms or your use of the Site shall not exceed the greater of: (a) the amount you paid to us, if any, for accessing the Site during the twelve (12) months preceding the claim; or (b) one hundred United States dollars (US $100).

Real Estate Transaction Disclaimer. We are not a party to any real estate transaction and shall not be liable for any disputes, losses, damages, or claims arising from or related to any real estate transaction, including but not limited to property defects, title issues, financing problems, misrepresentations by sellers or agents, or failure to complete a transaction.

8. Indemnification

You agree to indemnify, defend, and hold harmless Bruchim Habaim, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; (e) any real estate transaction you enter into through or in connection with the Site; or (f) your infringement of any third party's rights.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

10. Third-Party Links and Services

The Site may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

11. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv-Jaffa, Israel.

Dispute Resolution. Before filing any action, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days following written notice of the dispute. If the dispute cannot be resolved through negotiation, either party may pursue legal remedies as provided herein.

13. Miscellaneous

13.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bruchim Habaim regarding your use of the Site and supersede all prior agreements, understandings, and communications.

13.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Language. These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
